What We Do

Business Litigation Services

We serve Hall County, GA, Jackson County, GA, Gwinnett County, GA, Banks County, GA, and all of Northeast Georgia with business litigation representation in state and federal courts.

Core Service

Partnership & Shareholder Disputes

Business relationships that once thrived can break down over management disagreements, profit disputes, or allegations of misconduct. When a partner or co-owner breaches their obligations to the company or to their fellow owners, the result can be devastating. We represent both majority and minority owners in disputes over management rights, distributions, forced buyouts, and dissolution of Georgia LLCs, corporations, and partnerships.
Core Service

Breach of Fiduciary Duty

Officers, directors, managers, and majority owners owe fiduciary duties — including duties of loyalty and care — to the companies and co-owners they serve. When these duties are breached through self-dealing, misappropriation of business opportunities, or management negligence, the resulting harm can be significant. We pursue and defend fiduciary duty claims in Georgia courts, including derivative actions brought on behalf of the company itself.
Core Service

Trade Secret & Unfair Competition Claims

Under Georgia's Trade Secrets Act and the federal Defend Trade Secrets Act, businesses can pursue legal action when confidential business information — customer lists, pricing strategies, proprietary processes, or product designs — is misappropriated. These cases often move quickly and may involve requests for emergency injunctive relief to stop ongoing harm. We handle both prosecution and defense of trade secret and unfair competition claims.
Our Approach

How we approach business litigation

Business litigation is not just about winning a lawsuit — it is about protecting your company's future while managing the cost and disruption of litigation.

Our Approach

Early Case Assessment

Before committing to litigation, we conduct a thorough assessment of the merits, likely costs, and potential outcomes of your case. We want you to make an informed decision about whether to pursue litigation or explore alternative resolution. Honest early assessment saves our clients time and money and produces better outcomes than rushing into court unprepared.
Our Approach

Strategic Settlement

Litigation is expensive for everyone. Our attorneys are skilled negotiators who understand how to use litigation leverage — motions, discovery, and trial preparation — to create settlement opportunities that serve your interests. We treat settlement as a strategic tool rather than a concession, and we pursue it at every stage of the litigation process when the terms are right.
Our Approach

Trial-Ready Preparation

The best settlements come when the other side believes you are fully prepared to try the case. From the moment we are engaged, we prepare every business litigation matter as if it will go to trial. This means thorough discovery, well-developed legal theories, and meticulous documentation. Courts in Hall, Jackson, Gwinnett, and Banks Counties know our attorneys are prepared to try cases — and that reputation works in your favor.

FAQ

Common questions about business litigation in Georgia

Answers to the questions we hear most from business owners and executives in Gainesville, Peachtree Corners, Jefferson, and across Northeast Georgia.

Can I force a business partner out of our company?

It depends on your operating agreement or shareholders agreement, and the nature of the dispute. In Georgia, courts can order dissolution of an LLC or corporation when there is a deadlock, oppression of minority owners, or mismanagement. In some cases, a buyout rather than dissolution is the more appropriate remedy. We assess the specific facts and documents governing your company to advise on the available options.

What is a derivative action?

A derivative action is a lawsuit brought by a shareholder or member on behalf of the company against a third party — typically an officer or director — who has harmed the company. It is "derivative" because the shareholder's right to sue derives from the company's right to sue. Derivative actions are governed by Georgia's corporate and LLC statutes and require following specific procedural steps before filing.

How long does business litigation typically take in Georgia?

Business litigation timelines vary significantly. Simple disputes may resolve in months through settlement or mediation. Complex commercial cases in Georgia Superior Court typically take one to three years from filing to trial. Federal court cases often move faster due to stricter case management schedules. We set realistic expectations with every client at the outset.

Can I recover attorney fees in a business dispute?

Georgia follows the "American rule" where each party pays its own attorney fees. However, there are important exceptions: under O.C.G.A. § 13-6-11, a party who acts in bad faith or is stubbornly litigious may be required to pay the other side's fees. Additionally, many business contracts include prevailing party attorney fee provisions. We identify and pursue all available fee recovery options in every case.
